The same shall stand fully extinguished as a part of the Resolution Plan approved by the Hon?ble NCLT. 2. To consider and approve the re-constitution of the share capital of the Company in the following manner: a. Reduction in Equity Share Capital of the Company by reduction in the Face Value from Rs.10/- each to Face Value of Re.0.10/- each that is equivalent to Rs.14,16,170/- divided into 1,41,61,700 equity shares ("Reduction in Share Capital") b. After the Cancellation and Reduction in Share Capital, the Shareholding Pattern of the Company will be as mentioned below: c. To consider and approve the consolidation of Equity Share Capital of the Company i.e. consolidation into equity shares with a face value of Rs. 10/- each ("Consolidation of Share Capital"). Any fractional entitlements of equity shares resulting from such consolidation shall be rounded off to the nearest whole integer. d. To consider and approve Equity Investment by the Resolution Applicant and its representatives in the Company by way of Equity Infusionaggregating t0 INR 2,69,07,230/-in respect of which the Resolution Applicant will subscribe t0 26,90,723 equity shares of Rs. 10 each.
