04-Dec-2023 08-Dec-2023 Preferential Issue of shares The Company informs as under: "Aga Khan Fund for Economic Development (AKFED) (the Promoter) (the Major Shareholder) has expressed its interest to invest up to USD 10 million (equivalent INR at prevailing exchange rate) by subscribing to additional equity shares of the Bank, in compliance with applicable laws and regulations. The purpose is to further strengthen the Bank?s capital position and support its growth plans. The Bank has a capital efficient business model and as on September 30, 2023, the CRAR without including the corresponding half-year Net Profit was at 16.55 % (Tier I at 14.28% and Tier II at 2.27%). Pursuant to Regulation 29 (1)(d) of the SEBI Listing Regulations, we wish to inform you that a meeting of the Board of Directors of DCB Bank Limited (?Bank?) is scheduled to be held on December 8, 2023 to consider and evaluate the above proposal. In the event the Board approves the above, a proposal shall also be placed before the Board for obtaining shareholders? approval subject to applicable laws and regulations."
